Until January 1, 2024, ZIE was known as Zurich Insurance plc (ZIP). ZIP was incorporated in Dublin, Ireland, and was regulated by the Central Bank of Ireland.

Effective January 2, 2024, ZIE moved to Frankfurt, Germany, by means of a cross-border conversion under the European Directive on cross-border conversions, mergers, and divisions. While ZIE has changed its name and has converted to an AG, it has preserved its legal personality in the conversion (i.e., no transfer of assets, dissolution or winding up were involved in this move).

The head office move had no material impact on ZIE’s organization, customer facing and business activities in the local markets ZIE operates in. The local regulators continue to supervise ZIE’s conduct in local markets.

ZIE operates within the corporate governance guidelines of the Zurich Insurance Group and applicable legal and regulatory requirements. Structures, rules, and processes are designed to provide for the proper organization and conduct of the business within the company and to define the powers and responsibilities of its corporate bodies and employees.

Further information on the governance structure will be contained in ZIE’s 2024 Solvency and Financial Condition Report.

The Solvency and Financial Condition report (SFCR) aims to give the general public an overview of the insurance company’s financial condition covering business performance, the adequacy of its risk profile and a description of the capital management among others. The ZIP Norway, ZIP Finland, ZIP Denmark and ZIP Sweden branches were part of the ZIP legal entity.
